Notice regarding Conclusion of an Agreement on the Transfer of the Health & Amenity Business
Unitika Ltd. hereby announces that the Company has signed today an agreement with Daicel Corporation on the transfer of its Health & Amenity Business.s
1. Reasons for conclusion of the business transfer agreement
The Unitika Group aims to further concentrate its business resources on prioritized business areas under its new medium-term management plan.

Name: Health & Amenity Business
Business description: Development, manufacture, and sale of health foods, raw materials for functional foodstuffs, and feedstuffs
Main uses: Health supplements and their raw materials
(2) Acquirer
Name: Daicel Corporation
Locations: (Osaka Head Office) 3-4-5 Umeda, Kita-ku, Osaka
(Tokyo Head Office) 2-18-1 Konan, Minato-ku, Tokyo
Name and title of representative: Representative Director, President & CEO: Misao Fudaba
Business description: Development, manufacture, and sale of cellulose derivatives, organic chemicals, plastics, and pyrotechnic devices

Date of transfer: End of March 2015 (plan)
3. Impact on consolidated business results
Because the impact of the transfer on the Company’s consolidated business results will be negligible, the Company has not revised the forecast of consolidated business results for the fiscal year ending March 31, 2015.
Both companies will discuss the details for transferring the business at the end of March 2015 (plan).
